1. Introduction

Welcome to Panoraxis ("Company," "we," "our," "us"). By accessing or using our AI chatbot and virtual assistant services (collectively, the "Services"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, please refrain from using our Services.

2. Definitions

  • "Client": Any business or entity that enters into an agreement with Panoraxis to utilise our Services.
  • "User": Any individual who interacts with our Services, either directly or through a Client's platform.
  • "Agreement": The contractual arrangement between Panoraxis and the Client, detailing the scope, fees, and terms of the Services provided.

3. Services Provided

Panoraxis specialises in delivering AI-powered chatbot solutions tailored for business applications. Our Services are designed to enhance customer engagement, provide automated support, and facilitate seamless interactions. The specific features and functionalities of our Services will be outlined in individual agreements with each Client.

4. Client Obligations

4.1. Compliance with Laws

Clients must ensure that their use of our Services complies with all applicable local, national, and international laws and regulations. This includes, but is not limited to, data protection laws, consumer protection laws, and intellectual property laws.

4.2. Provision of Accurate Information

Clients are responsible for providing accurate, current, and complete information when engaging our Services. Any changes to such information must be promptly communicated to Panoraxis to ensure effective service delivery.

4.3. User Consent

Clients must obtain all necessary consents from their end-users before collecting, processing, or storing their data through our Services. This includes informing users about how their data will be used and ensuring that such use complies with applicable data protection regulations.

5. Payment Terms

5.1. Fee Structure

Our fees are determined on a case-by-case basis, following a consultation and mutual agreement with the Client. The agreed-upon fees will be detailed in the Agreement.

5.2. Payment Schedule

Invoices will be issued as per the terms outlined in the Agreement. Clients are required to settle payments within the specified timeframe to avoid any disruption to the Services.

5.3. Late Payments

Failure to make timely payments may result in suspension or termination of Services. Panoraxis reserves the right to charge interest on overdue amounts, as permitted by law.

6. Acceptable Use Policy

6.1. Prohibited Activities

Clients and Users are prohibited from using our Services to:

  • Engage in any unlawful, fraudulent, or malicious activities.
  • Transmit content that is defamatory, obscene, or otherwise objectionable.
  • Infringe upon the intellectual property rights of others.
  • Distribute unsolicited promotional materials (spam).

6.2. Monitoring and Enforcement

Panoraxis reserves the right to monitor usage of our Services to ensure compliance with these Terms. Any violations may result in immediate suspension or termination of Services.

7. Data Protection and Privacy

7.1. Data Collection

While Panoraxis does not actively collect personal data from Users, certain information may be processed to facilitate the functionality of our Services. Clients are responsible for ensuring that any data collected through their use of our Services complies with applicable data protection laws.

7.2. Data Security

We implement appropriate technical and organisational measures to protect data processed through our Services against unauthorised access, alteration, disclosure, or destruction.

7.3. Data Breach Notification

In the event of a data breach, Panoraxis will promptly notify affected Clients and cooperate with any necessary investigations, in accordance with applicable laws.

8. Intellectual Property Rights

8.1. Ownership

All intellectual property rights related to our Services, including but not limited to software, algorithms, and documentation, are owned by Panoraxis. Clients are granted a limited, non-exclusive, non-transferable licence to use the Services as outlined in the Agreement.

8.2. Client Content

Clients retain ownership of any content they provide or generate through the use of our Services. By submitting such content, Clients grant Panoraxis a licence to use, reproduce, and modify the content solely for the purpose of providing the Services.

9. Confidentiality

9.1. Definition

"Confidential Information" refers to any non-public information disclosed by one party to the other, either directly or indirectly, in writing, orally, or by inspection of tangible objects.

9.2. Obligations

Both parties agree to:

  • Maintain the confidentiality of the Confidential Information.
  • Use the Confidential Information solely for the purpose of fulfilling their obligations under the Agreement.
  • Not disclose the Confidential Information to any third party without prior written consent, except as required by law.

10. Limitation of Liability

10.1. Disclaimer of Warranties

Panoraxis provides the Services on an "as-is" and "as-available" basis. We do not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components.

10.2. Limitation of Damages

To the fullest extent permitted by law, Panoraxis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to the use or inability to use our Services.

11. Indemnification

Clients agree to indemnify, defend, and hold harmless Panoraxis, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Client's use of the Services.
  • Client's violation of these Terms.
  • Any content submitted by Client or Users.

12. Term and Termination

12.1. Term

The Agreement shall commence on the effective date and continue until terminated by either party, as outlined in the Agreement.

12.2. Termination for Convenience

Either party may terminate the Agreement for any reason, with prior written notice as specified in the Agreement.

12.3. Termination for Cause

Panoraxis may terminate the Agreement immediately if the Client:

  • Breaches any material term of these Terms and fails to remedy the breach within a specified period.
  • Becomes insolvent or is unable to pay its debts as they fall due.

12.4. Effects of Termination

Upon termination:

  • All licences granted to the Client shall cease.
  • The Client shall immediately pay any outstanding fees owed to Panoraxis.
  • Each party shall return or destroy all Confidential Information of the other party.

13. Governing Law and Dispute Resolution

13.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

13.2. Dispute Resolution

Any disputes arising out of or in connection with these Terms shall be resolved through good faith negotiations. If the dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

14. Miscellaneous

14.1. Entire Agreement

These Terms, together with the Agreement, constitute the entire agreement between the parties and supersede all prior agreements, understandings, and representations, whether written or oral, relating to the subject matter herein.

14.2. Amendments

Panoraxis reserves the right to modify these Terms at any time. Clients will be notified of any material changes, and continued use of the Services constitutes acceptance of the revised Terms.

14.3. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.4. No Waiver

Failure by Panoraxis to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.5. Assignment

Clients may not assign or transfer their rights or obligations under these Terms without prior written consent from Panoraxis. Panoraxis may freely assign or transfer its rights under these Terms.
